This End-User License Agreement ("EULA", “Agreement”) is a legal agreement between you and AI CleanUpper. This EULA agreement governs your acquisition and use of AI CleanUpper app ("Software"), which are owned and operated by Bloom Innovation LLC (“AI CleanUpper” “us,” “we,” or “our”), a legal entity incorporated under the laws of Georgia.
Please read this EULA agreement carefully before completing the installation process and using the AI CleanUpper software. By installing or using the software in any way, you are indicating your complete understanding and acceptance of the terms of this agreement and agree to become bound by these terms. If you do not agree to the terms of this agreement, you should not download, install, or use the software or uninstall the software.
The terms also apply to any AI CleanUpper updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. Unless otherwise stated, the terms in this EULA shall have the same meaning given to them in the Terms.
Software is licensed, not sold.AI CleanUpper grants you a personal, non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to download, install, and use the AI CleanUpper Software (“License”) strictly in accordance with the terms of this Agreement, Terms and Conditions, and Privacy Policy.
The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. This license permits you to use the AI CleanUpper Software for the sole and exclusive purpose of using the Service. We reserve all other rights to the AI CleanUpper Software. Unless applicable law gives you more rights despite this limitation, you may use Software only as expressly permitted in this Agreement.
AI CleanUpper Software, including all associated elements such as code, images, logos, audio, video, music, text, applets, and any other content, as well as any related documentation and copies, is the exclusive property of Bloom Innovation LLC and is protected by applicable copyright laws, international treaty provisions, and other applicable laws of the country in which the Software is being used. Except as stated in this Agreement, your possession, installation, and use of the Software does not grant you any rights or title to any intellectual property rights in the Software.
To the extent you provide any comments or suggestions about Bloom Innovation LLC, Bloom Innovation LLC shall have the right to retain and use any such comments or suggestions in our current or future products or services, without further compensation to you and without your approval of such retention or use. All rights to Software, including all associated copyrights, patents, trade secret rights, trademarks, and other intellectual property rights are reserved by Bloom Innovation LLC.
You shall not engage in any actions that may compromise or infringe upon our ownership and intellectual property rights related to the Software. Unless expressly permitted by this Agreement or applicable laws, you shall not:
Any commercial use of the Software, including but not limited to any use by an individual on behalf of a company or legal entity, shall be considered a violation of this Agreement. If you wish to use the Software (or any part of it) for commercial purposes, you must enter into a separate agreement with us in advance. You are responsible, at your own expense, for all equipment, software, access to the Internet, and communications networks required to use the Service. AI CleanUpper is not responsible for any delays or failures in the Service due to a failure of any equipment, software, access to the Internet, or communications networks necessary to use or access the Service outside of its control.
AI CleanUpper may offer technical support features during the software license term, such as assistance through email or other methods. Technical support is provided at AI CleanUpper discretion, without any guarantees or warranties. You are responsible for backing up all existing data, software, and programs before seeking technical support. During the support process, AI CleanUpper may assess that the issue exceeds the scope of its support services and reserves the right to decline, suspend, or terminate technical support at its discretion.
AI CleanUpper provides the Software "as is" and without any warranties, either express or implied. We do not guarantee that the Software will meet your expectations or function without interruption or errors. We do not guarantee the Software is free from viruses or other harmful components. You assume all risks associated with using the Software, including any data loss or errors. To the maximum extent permitted by applicable law, AI CleanUpper disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
IN NO EVENT WILL WE OR ANY OTHER PARTY WHO HAS BEEN INVOLVED IN THE CREATION, PRODUCTION, DISTRIBUTION, PROMOTION, OR MARKETING OF THE SERVICES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY SPECIAL, INDIRECT, INCIDENTAL, RELIANCE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF DATA OR PROFITS, OR FOR INABILITY TO USE THE SERVICE, EVEN IF WE OR SUCH OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY AND TO THE FULLEST EXTENT PERMITTED BY LAW. IN NO EVENT, SHALL OUR AGGREGATE LIABILITY TO YOU AND ANY OTHER PARTY, WHETHER DIRECT OR INDIRECT, EXCEED THIRTY DOLLARS ($30.00) FOR ANY AND ALL CLAIMS, DAMAGES, AND OTHER THEORIES OF LIABILITY.
To the extent the Software is bundled with third-party software programs, these third-party software programs are governed by their own license terms, which may include open-source or free software licenses. Nothing in this Agreement limits an end user’s rights under or grants the end user rights that supersede, the terms of any such third-party software.
This Agreement shall be governed by the laws of Georgia and by international copyright regulations and treaties, without regard to any conflict of laws provisions. The exclusive jurisdiction and venue to adjudicate any dispute arising out of this Agreement shall be of the courts of Georgia.
This Agreement constitutes the entire agreement between you and AI CleanUpper, and supersedes all prior or contemporaneous communications, agreements, and understandings, written or oral, with respect to the subject matter hereof including without limitation the terms of any party or any purchase order issued in connection with this Agreement. If any provision of this Agreement is held to be unenforceable, that shall not affect the enforceability of the remaining provisions.
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to AI CleanUpper. It will also terminate immediately if you fail to comply with any terms of this EULA agreement. Upon such termination, the License granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software.
